1. Introduction
These Terms of Use ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity) ("User", "you", or "your") and INTERTRADING HOLDING LIMITED ("Company", "we", "us", or "our"), a company registered in England and Wales (Company No. [Number]), concerning your access to and use of the [www.scrapbull.com] website, mobile application, and related services (collectively, the "Platform").
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to all of these Terms, you are expressly prohibited from using the Platform and must discontinue use immediately.
2. Definitions
- "Platform": The digital marketplace, website, apps, and tools provided by ScrapBull.
- "Service": The provision of the Platform to facilitate the buying and selling of scrap metal and related commodities.
- "User": Any verified individual or business entity accessing the Platform.
- "Seller": A User who lists materials for sale or responds to RFQs.
- "Buyer": A User who places bids, requests quotes, or purchases materials.
- "Transaction": A completed agreement between Buyer and Seller for the sale of goods.
- "Scrap Metal": Ferrous and non-ferrous metals, alloys, and metallic waste as defined under the Scrap Metal Dealers Act 2013.
3. Eligibility and Compliance
3.1 Business Use Only
The Platform is intended for Business-to-Business (B2B) commercial use. By using the Platform, you represent and warrant that:
- You are acting in a professional capacity as a business entity or sole trader.
- You have the legal authority to bind the entity you represent.
- You are at least 18 years of age.
3.2 Licensing Requirements (UK Users)
To comply with the Scrap Metal Dealers Act 2013 (SMDA), all UK-based Sellers and Buyers trading on the Platform must:
- Hold a valid Scrap Metal Dealer’s Licence (Site Licence or Collector’s Licence) issued by their local council.
- Provide proof of such licence during the verification process.
- Immediately notify us if your licence is revoked, suspended, or expired.
We reserve the right to suspend any account that fails to provide valid licensing documentation.
3.3 AML/KYC Verification
To prevent money laundering and the sale of stolen goods, you agree to undergo Know Your Customer (KYC) and Anti-Money Laundering (AML) checks. You typically must provide:
- Proof of identity (Passport/Driving Licence).
- Proof of address/Business trading address.
- Company registration details.
4. The Marketplace
4.1 Venue Disclaimer
ScrapBull acts solely as a venue to connect Buyers and Sellers. We do not take possession, title, or physical custody of items listed (unless explicitly stated under a managed service). We are not a party to the actual contract of sale between Buyer and Seller.
4.2 "No Cash" Policy
In strict compliance with Section 12 of the SMDA 2013, cash payments for scrap metal are strictly prohibited on the Platform. All payments must be processed electronically through our authorized payment processors (e.g., Stripe).
- Circumvention: Any attempt to take transactions off-platform to pay in cash is a material breach of these Terms and will result in immediate permanent suspension.
4.3 Listings and Accuracy
Sellers are solely responsible for the accuracy of their listings, including:
- Correct grading (e.g., ISRI codes).
- Accurate weight and quantity.
- Clear disclosure of any impurities or hazards.
4.4 Binding Contracts
- Fixed Price: Clicking "Buy Now" creates a legally binding contract.
- Auctions/RFQs: A winning bid in a reverse auction or acceptance of a quote creates a binding contract. You may not withdraw a bid or offer after acceptance.
5. Fees and Payments
5.1 Service Fees
ScrapBull charges a transaction fee ("Platform Fee") on successful sales.
- Sellers: Fees are automatically deducted from the payout.
- Buyers: May be charged a processing fee depending on the payment method.
- Current fee structures are available on our [Pricing Page].
5.2 Payment Processing
We use third-party payment processors (e.g., Stripe, PayPal) to facilitate transactions. By using the Service, you agree to the [Stripe Connected Account Agreement].
- Funds may be held in escrow until delivery is confirmed (if applicable).
- You are responsible for ensuring your bank account details are correct.
5.3 Taxes (VAT)
- All prices listed usually exclude VAT unless stated otherwise.
- UK Domestic Reverse Charge: For B2B transactions of specific scrap metals in the UK, the VAT Domestic Reverse Charge may apply. It is the User's responsibility to invoice and account for VAT correctly in accordance with HMRC regulations. ScrapBull generates pro-forma invoices but does not act as a tax advisor.
6. Shipping and Risk
6.1 Incoterms
Unless otherwise agreed in writing between Buyer and Seller, standard trading terms are Ex Works (EXW) (Buyer collects) or Delivered Duty Paid (DDP) (Seller delivers). The specific term must be selected at the listing stage.
6.2 Risk of Loss
- Collection: Risk passes to the Buyer once the goods are loaded onto the collecting vehicle.
- Delivery: Risk passes to the Buyer upon safe arrival at the designated facility.
6.3 Rejections and Disputes
If materials do not match the specified grade:
- The Buyer must notify the Platform and Seller within 24 hours of receipt (the "Inspection Period").
- Evidence (photos/weight tickets) must be uploaded to the Platform.
- Dispute Resolution: If parties cannot agree on a settlement (e.g., price adjustment or return), ScrapBull may, at its discretion, mediate. Our decision in such mediation is final regarding the release of escrowed funds, but does not preclude legal action between users.
7. Prohibited Activities
You agree NOT to:
- List or trade stolen goods.
- Trade hazardous waste without appropriate environmental permits.
- Use the Platform for money laundering or financing terrorism.
- Harass, bully, or intimidate other users.
- Use data mining, robots, or scraping tools on the Platform.
- Attempt to bypass Platform Fees by sharing contact details to trade directly ("off-platforming").
8. Intellectual Property
8.1 Platform IP
The Platform, including its code, design, logos, and "ScrapBull Academy" content, is owned by INTERTRADING HOLDING LIMITED and protected by copyright and trademark laws.
8.2 User Content
You retain ownership of the data and images you upload (e.g., listings). However, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and reproduce this content for the purpose of operating and promoting the Platform.
9. Limitation of Liability
To the fullest extent permitted by law:
- "As Is" Service: The Platform is provided on an "as-is" and "as-available" basis.
- No Warranty: We make no warranties regarding the quality, safety, or legality of scrap metal traded, or the truth or accuracy of listings.
- Cap on Liability: Our liability to you for any cause whatsoever shall be limited to the greater of (a) the amount of fees you paid to us in the 12 months prior to the action, or (b) £100.
- Indirect Damages: We are not liable for lost profits, data loss, or consequential damages.
Nothing in these Terms limits liability for death or personal injury caused by our negligence or for fraud.
10. Indemnification
You agree to defend, indemnify, and hold harmless INTERTRADING HOLDING LIMITED, its directors, and employees from any loss, damage, liability, claim, or demand (including legal fees) arising out of:
- Your use of the Platform.
- Your breach of these Terms.
- Your violation of any law (including SMDA 2013, Environmental Protection Act 1990).
- Any dispute between you and another User.
11. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms.
- Suspicious Activity: Accounts suspected of trading stolen goods or money laundering will be frozen immediately and reported to the National Crime Agency (NCA) or relevant authorities.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales.
- Jurisdiction: You submit to the exclusive jurisdiction of the courts of England and Wales to resolve any dispute.
